PURCHASE AGREEMENT
The client (“Buyer”) desires to purchase research MATERIAL from https://www.proxima-us.com (“PROXIMA”). The purpose of this Agreement is to define the conditions and restrictions governing the sale and purchase of MATERIAL.
As used herein, the term “MATERIAL” means any product and/or services purchased or obtained from PROXIMA including, but not limited to, peptides, proteins, liquids, powders, chemicals, labware, and hardware.
All purchases of MATERIAL by Buyer from PROXIMA are governed by the following terms:
1. Research Use Only
All products are for research and development use only.
Products are not for human or animal consumption of any kind.
The statements on this website have not been evaluated by the U.S. Food and Drug Administration.
Products are not intended to diagnose, treat, cure, or prevent any disease.
PROXIMA is a research chemical supplier — not a compounding pharmacy, chemical compounding facility, or outsourcing facility under 503A or 503B of the Federal Food, Drug, and Cosmetic Act.
2. Permitted Use
All products are sold strictly for:
Research
Laboratory
Analytical purposes
Products may not be used for:
Human or animal use
Clinical or diagnostic purposes
Food, drug, cosmetic, commercial, or medical applications
Buyer agrees MATERIAL will NOT be used for human or animal consumption and will be handled only by qualified professionals.
3. Age Requirement
You must be at least 21 years old to purchase MATERIAL from this website.
4. Payment Terms
All payments are made payable to PROXIMA.
5. Liability & Indemnification
Buyer agrees that PROXIMA:
Assumes no legal responsibility for improper usage of MATERIAL.
Is not liable for any damages (incidental, special, consequential, or otherwise).
Buyer agrees to indemnify and hold PROXIMA harmless from all claims, losses, liabilities, and expenses arising from Buyer’s handling, storage, or use of any MATERIAL, whether used alone or combined with other substances.
6. Buyer Responsibility & Safety
Buyer acknowledges:
MATERIAL may pose hazards.
Buyer is fully informed about safety, handling, and regulations.
Buyer is responsible for ensuring compliance with federal, state, and local laws.
PROXIMA reserves the right to limit or deny sales to unqualified individuals.
7. Patents & Licensing
PROXIMA does not guarantee that the use or sale of MATERIAL will not infringe on patents.
Listing a MATERIAL does not grant any license or recommendation for use in infringement of any patent.
All MATERIAL must be handled by trained professionals.
8. Restrictions on Transfer & Resale
Buyer receives a limited, non-transferable right to use MATERIAL only for internal research.
Buyer may not:
Resell
Supply
Repackage
Re-label
Export
Transfer MATERIAL to any third party without written approval from PROXIMA.
9. Warranty
Buyer understands MATERIAL:
Is intended only for qualified research purposes.
Buyer warrants MATERIAL will not be misbranded, adulterated, or used in violation of the Federal Food, Drug and Cosmetic Act.
10. TSCA Compliance
Unless otherwise stated, MATERIAL may not appear on the Toxic Substances Control Act (TSCA) inventory.
Buyer is responsible for ensuring compliance with TSCA if applicable.
11. Buyer Duty to Inform
Buyer must:
Verify hazards
Warn all personnel involved (including freight handlers)
Follow all safety instructions
Not misuse the MATERIAL
12. Public Conduct & Dispute Policy
Buyer agrees not to post false information, public attacks, or defamatory material about PROXIMA.
All legal filings must occur in the local county where PROXIMA operates.
Buyer agrees to pay all associated legal fees and costs.
13. Agreement Scope
This document constitutes the full agreement.
Modifications must be in writing and signed by both parties.
This Agreement is governed by the laws of the United States of America.
If any portion is deemed unenforceable, the remaining provisions remain in effect.
